Item 2.01 Completion of Acquisition or Disposition of Assets.

On March 16, 2015, HealthStream, Inc., a Tennessee corporation (the “Company”) completed its acquisition of HealthLine Systems, LLC, a California limited liability company into which HealthLine Systems, Inc., a California corporation, had been converted (“HealthLine”) pursuant to the terms of a membership interest purchase agreement dated as of February 12, 2015, the execution of which was previously disclosed in a Current Report on Form 8-K filed by the Company on February 13, 2015.

The purchase price paid at closing was approximately $88 million in cash (subject to adjustment based on the working capital of HealthLine as of the closing).

The Company will file with the Securities and Exchange Commission (the “SEC”) the financial statements and pro forma financial information required to be filed pursuant to Rule 3-05 of Regulation S-X and Article 11 of Regulation S-X within 71 days of the date on which this Current Report on Form 8-K was required to be filed with the SEC.

Item 8.01. Other Events.

On March 16, 2015, the Company issued a press release announcing the closing of the acquisition of HealthLine. A copy of the press release is attached hereto as Exhibit 99.1.
